Corporate advisory supports the well-considered, lawful, and efficient implementation of a company’s contractual relationships, management decisions, and stages of development. As a full-service law firm, we provide corporate advisory services to companies across various sectors, supporting clients both in day-to-day management matters and in shaping shareholder relations, governance structures, and internal regulations. Our work includes addressing ongoing legal issues arising in business operations, providing contractual advice, and representing clients in negotiations.

In corporate practice, situations frequently arise that require precise and carefully reasoned legal assessment and support – whether related to the liability of management board members, transactions with related parties, the documentation of corporate bodies’ decisions, or acting as a contractual counterparty. RASK supports management and shareholders by providing clarity, mitigating risk, and helping to prevent or resolve disputes before they escalate.

Capital and structural changes form a central part of a company’s lifecycle. We advise clients on capital increases, the establishment of option and incentive schemes, and corporate restructurings, including mergers, demergers, transformations, and liquidations. We also place increasing emphasis on ESG principles, including due diligence obligations and corporate social responsibility, which are becoming integral to modern business decision-making.

RASK’s corporate experience is extensive. We advise clients on matters ranging from the establishment of companies or branches and the preparation of board meetings and resolutions to the handling of shareholder disputes, information requests, special audits, board liability claims, and whistleblowing matters. Co-Head of Practice – Ramon Rask

Ramon Rask is the founding partner of RASK and Co-Head of the Corporate Advisory practice, with nearly two decades of experience advising companies throughout their entire business lifecycle. His day-to-day work spans a wide range of services – from structuring corporate and legal frameworks and advising on business operations to capital raising and shareholder disputes.

Ramon has extensive experience advising clients in the real estate and energy sectors and is highly regarded for his strategic approach and strong commercial acumen. He is a member of the board of the Estonian Bar Association and its Commercial Law Committee. His legal expertise and personal dedication have been repeatedly recognised by leading international legal directories, including Chambers Europe and The Legal 500.


Co-Head of Practice – Annika Vait

Annika Vait is a partner at RASK and Co-Head of the firm´s Corporate Advisory practice. She has nearly twenty years of experience advising companies and their management bodies and has been repeatedly recognised in international legal market rankings – including being named a Leading Individual in the field of Corporate and M&A by The Legal 500.

Annika has in-depth experience in corporate and employment law. Her advisory practice covers the entire lifecycle of a company – from incorporation and capital changes to liquidation, option schemes, and restructuring processes. She also advises clients on mergers, demergers, and other structural changes. In her daily corporate advisory work, Annika assists companies with drafting agreements, developing internal regulations, and resolving matters related to board member liability, information rights, special audits, and shareholder disputes.

Her previous experience as the founder and partner of the law firm ALTERNA has given Annika a deep understanding of the practical needs of entrepreneurs, enabling her to act as strategic and forward-looking corporate advisor. In addition, Annika contributes to the work of the Estonian Bar Association’s Commercial Law Committee and promotes legal awareness through trainings, publications, and public initiatives.
