RASK consults client on right of pre-emption to acquire shares in Port of Pärnu.

Case

RASK successfully advised Transcom in exercising the right of pre-emption to acquire shares in Pärnu Sadam (Port of Pärnu).

The dispute arose when A&O AS transferred its 50% shareholding in Pärnu Sadam to Logman Invest, a company belonging to Endel Siff. A&O refused to disclose the sales contract to Transcom, co-shareholder in Pärnu Sadam, and did not allow it to exercise the right of pre-emption.

RASK advised Transcom in the process of disclosing the sales contract, exercising the right of pre-emption, as well as reclaiming the shares.
