RASK consults client on right of pre-emption to acquire shares in Port of Pärnu.


RASK successfully advised Transcom in exercising the right of pre-emption to acquire shares in Pärnu Sadam (Port of Pärnu).

The dispute arose when A&O AS transferred its 50% shareholding in Pärnu Sadam to Logman Invest, a company belonging to Endel Siff. A&O refused to disclose the sales contract to Transcom, co-shareholder in Pärnu Sadam, and did not allow it to exercise the right of pre-emption.

RASK advised Transcom in the process of disclosing the sales contract, exercising the right of pre-emption, as well as reclaiming the shares.

Transcom AS together with its subsidiaries and affiliated companies form a group offering port, transport, and other services. A&O AS is an Estonian company active in the handling of cargo, organising transportation and storage, and logistics.

Pärnu Sadam AS is the port authority for the Port of Pärnu and owner of the basic infrastructures at the port. Pärnu Sadam AS manages vessel traffic at the port and renders stevedore services. In recent years, the Port of Pärnu has become one of the most important regional ports in south-western and southern Estonia.
