RASK consults Estonian investors on acquiring Bauhof Group and MyFitness. 

Case

RASK advised MyInvest Estonia in acquiring 100% of the shares in the Bauhof Group and MyFitness from Stockholm-based private equity fund Askembla Growth Fund.

RASK was responsible for preparing all transaction documents, including the non-disclosure agreement, share purchase agreement and shareholders’ agreement.

From the professional perspective, performing the transaction was a challenge, as it was all concluded within 60 days. Considering the volume of paperwork involved, this was a remarkable achievement.

MyInvest Estonia OÜ is a company established by the former and current managers and advisers of Bauhof Group AS and MyFitness AS. MyInvest is mostly based on Estonian capital, Nemor Invest OÜ being the largest shareholder.

Bauhof Group AS is the largest retail seller of construction materials and gardening goods in Estonia based on the international DIY-concept. Its 13 stores in Estonia offer high-quality construction, finishing, gardening and home products suitable even for the most demanding customer. Bauhof employs approximately 500 people in Estonia.

My Fitness AS is a leading sports club chain with 12 sports clubs in Estonia. In the near future, two new clubs will be opened in Tallinn – in Mustamäe and in Lasnamäe. The number of monthly visits to MyFitness is over 87,000 and 47 different group training styles are represented.
